GENERAL TERMS OF SERVICE (一般利用規約)

Section I

Article 1: Scope & Commencement of Agreement

  1. These terms apply to all interactions between:
    • The Client: Any individual, collector, or entity engaging the Maker for services or products.
    • The Maker: Michael D. Breitenstein, dba INTRESTEIN: Operating in Hiroshima, Japan & Billings Montana, USA.
    • PEANUTS MINERALS: Refers to Financial With Co., Ltd. (フィナンシャルウィズ株式会社), dba “PEANUTS MINERALS.”
  2. Initial Agreement: Confidentiality and Intellectual Property (IP) clauses take effect immediately upon the first point of contact. Engagement in consultation or the sharing of specimen data implies acceptance of these protections.
  3. Binding Contract: Production and Service clauses become legally binding once a quote is approved and an official Order Number is issued by The Maker following payment confirmation.

Article 2: Intellectual Property & Design Ownership

  1. Invention & Design: All intellectual property rights, including but not limited to CAD designs, technical drawings, prototypes, G-code, Android/Apple Applications, Photographs, Models, Files, and invention developments created by The Maker, remain the exclusive property of The Maker.
  2. Pre-Contractual Work: Any technical suggestions, sketches, or “Invention Development” concepts provided during the consultation phase remain the property of The Maker and may not be used, replicated, or shared by The Client without a formal written agreement.

Article 3: Confidentiality & Trade Secrets

  1. Proprietary Processes: The Client acknowledges that The Maker’s manufacturing processes (including specialized polishing techniques) are proprietary trade secrets.
  2. Mutual Non-Disclosure: Both parties agree to maintain strict confidentiality. The Maker will not disclose The Client’s project details, and The Client will not disclose The Maker’s technical methods or proprietary data to any third party.
  3. No Process Disclosure: Technical processes are not disclosed to external clients to maintain exclusivity and integrity, except where strictly required by law.

Article 4: Order Fulfillment, Slots & Termination

  1. Securing a Slot: A production slot is only officially secured once a payment is confirmed and an Order Number is issued.
  2. Client Cancellations:
    • Consultation Phase: The Client may cease consultation at any time before payment.
    • Production Phase: Once an Order Number is issued, the project is considered “in production.” No refunds or cancellations will be permitted for custom-made goods.
  3. Right to Terminate: The Maker reserves the right to cancel a project or terminate a service agreement at any time.
    • Refund Policy: A pro-rated refund will be issued based on materials consumed and labor hours completed up to the date of cancellation.
    • Extreme Cases: In cases of harassment, unethical requests, or illegal activity, The Maker reserves the right to terminate without a refund to the extent permitted by law.

Article 5: Technical Authority & Standards

  1. Engineering Authority: The Maker retains final authority over all engineering, structural, and design decisions. This includes determining tolerances, material specifications, and component placement to ensure the product functions safely. The Maker reserves the right to modify Client concepts if they are determined to be physically impossible or unsafe.
  2. Tolerance: Minor individual variances resulting from machining and handmade work are inherent to the custom process and are not considered defects. Please refer to our Defined Tolerances page for specifics.
  3. Text Accuracy: All custom engravings are executed exactly as provided. The Client is responsible for all spelling, grammar, and punctuation; no corrections will be made by The Maker.

Article 6: Inspection & Final Acceptance

  1. Initial Inspection: Upon delivery, the Client must perform a thorough inspection of the shipment. Any claims for shipping damage, machining errors, or missing components must be reported to ORDERS@intrestein.com within seven (7) calendar days of the delivery date.
  2. Final Acceptance: If no report is made within seven (7) calendar days, the product is deemed accepted in its delivered condition, and The Maker’s obligation for initial quality fulfillment is considered complete. (Note: This does not affect the Lifetime Craftsmanship Warranty defined in Supplement A).
  3. Unboxing Video Requirement: To process any claim for damage occurred during transit, The Client must provide a continuous, unedited video recording of the package being opened. This video must clearly show the condition of the outer seal/tape before opening and the state of the contents as they are removed. Photos alone are considered insufficient for verifying transit damage.
  4. Evidence Integrity, AI Fakes, & Criminal Reporting: Any evidence submitted that is found to be AI-generated, digitally altered, or a “Deepfake” manipulation will be rejected immediately. The submission of fraudulent or synthetic media for the purpose of financial gain or service replacement is a criminal act. The Maker reserves the right to report such activities to the Hiroshima Prefectural Police, the FBI (IC3), and relevant legal authorities in the Client’s jurisdiction. Such actions will result in the permanent termination of all agreements without refund.

Section II

Supplement A: Custom Mineral Display Services

Article 7: Intake, Liability, and The 63-Day Accountability Sequence

  1. The “Active Window”: The official service period begins upon the issuance of the invoice email, which includes orientation renders and the final invoice.
  2. The 63-Day Rule: To ensure workshop capacity, The Client has 63 calendar days from the date of the invoice to select a display option and settle the invoice.
  3. Abandonment & Reclamation: Failure to complete payment or provide instructions within 63 days constitutes a material breach of contract. Under the principle of 信義誠実 (しんぎせいじつ – Good Faith), the specimen will be considered Abandoned Property. Ownership shall transfer to The Maker to settle outstanding costs related to climate & humidity-controlled storage, administrative handling, specialized 3D scanning labor, and preparation costs. The Client acknowledges that upon transfer, the specimen’s market value may be significantly devalued due to the loss of provenance and its status as reclaimed property.
  4. Assumption of Risk: Minerals are natural objects with internal stresses. While The Maker utilizes specilized techniques and precision 3D scanning to minimize stress and movement, all work is performed at The Client’s Risk. The Maker is not liable for structural failures or crystal loss inherent to the specimen’s nature.

Article 8: Classification & Exclusivity

  1. The Class System: Projects are categorized into Classes (0 through 5, “V” & “X”) based on size and technical complexity. The Maker reserves the right to adjust a specimen’s Class rating following physical inspection and 3D scanning. In the event of an adjustment, the Invoice will be updated to reflect the corrected Class and associated pricing.
  2. Class 0 Exclusivity: Class 0 bases are standardized displays exclusive to PEANUTS MINERALS inventory. They are not available for custom commission or third-party specimens. These bases may only be acquired as a paired set with a mineral specimen selected by PEANUTS MINERALS.
  3. Class V Exclusivity: Class V (Vault) bases are non-standardized, specialty displays exclusive to PEANUTS MINERALS Members. Eligibility and the method of acquisition through the member club are determined solely by the management of PEANUTS MINERALS.
  4. Class X Exclusivity: Class X (Experimental) bases are non-standardized, specialty displays exclusive to INTRESTEIN Members. Eligibility for Class X is reserved for clients who have pre-purchased items directly from the INTRESTEIN store. Please note that the purchase of PEANUTS MINERALS custom bases does not contribute toward INTRESTEIN membership eligibility.

Article 9: Warranty & Specialized Care

  1. Lifetime Craftsmanship Warranty: Custom acrylic products produced under the INTRESTEIN brand include a lifetime warranty on structural integrity and finish. This covers manufacturing defects, spontaneous cracking (excluding chemical crazing), structural warping, and branding permanence.
    • While this warranty generally excludes damage resulting from negligence or improper maintenance (e.g., use of alcohol-based solvents or non-approved cloths), INTRESTEIN provides specific exceptions for returning customers and catastrophic loss:
    • Accidental Damage: Returning customers are eligible for a stackable accidental damage replacement allowance based on their years of loyalty.
    • Humanitarian Clause: At our discretion, we offer free collection replacement for losses caused by natural disasters or war.
    • Refurbishment: Standard surface wear or light scratching may be eligible for professional restoration services.
    • Please refer to our full Warranty Page for specific eligibility tiers, stacking schedules, and maintenance requirements.
  2. Transferability: This is a transferable warranty. To exercise the warranty, the current holder must provide the original Order Number or Invoice.

Article 10: Governing Law & Jurisdiction

  1. Governing Law: These terms, the relationship between the Client and the Maker, and any disputes arising from or related to the services provided by The Maker shall be governed by and construed in accordance with the laws of Japan & The United States of America.
  2. Exclusive Jurisdiction: The parties agree that the Hiroshima District Court shall have exclusive primary jurisdiction over any legal disputes or claims. However, The Client acknowledges that The Maker maintains active business operations and physical facilities in both Hiroshima, Japan and Billings, Montana, USA.
  3. Dual-Base Enforcement: The Client acknowledges that The Maker maintains active business operations and physical facilities in both Hiroshima, Japan and Billings, Montana, USA. The Maker reserves the right to initiate legal proceedings in any court of competent jurisdiction—including the State of Montana, USA—to protect Intellectual Property, enforce non-disclosure, or recover outstanding debts.

Article 11: Entity Separation & Third-Party Terms

  1. Independent Entities: The Client acknowledges that The Maker and Financial With Co., Ltd. (dba PEANUTS MINERALS) are separate and independent legal entities. Neither party is responsible for the legal obligations or debts of the other. 
  2. Independent Terms: Agreements made with Financial With Co., Ltd. are governed by their own respective Terms of Service. 
  3. Financial Separation: Payments, credits, or gift certificates issued by Financial With Co., Ltd. are not transferable to The Maker’s services. All invoices issued by The Maker must be settled directly.

第1節：一般規定

第1条：適用範囲、定義、および契約の開始

  1. 定義: 本規約において、以下の用語は次の意味を有するものとします。
    • 制作者 (The Maker): INTRESTEIN として事業を行う Michael D. Breitenstein。日本国広島県広島市、および米国モンタナ州ビリングスの両拠点にて事業を展開しています。
    • お客様 (The Client): サービスの提供または製品の購入を依頼する個人、コレクター、または法人。
    • PEANUTS MINERALS: フィナンシャルウィズ株式会社（商号：PEANUTS MINERALS / AP Fine Mineral Art gallery）を指します。
  2. 初期合意: 機密保持および知的財産権（IP）に関する条項は、最初の問い合わせ、またはプロジェクトの詳細や標本データのやり取りが開始された時点で直ちに効力を生じるものとします。相談への参加は、これらの保護条項に同意したものとみなされます。
  3. 拘束力のある契約: 制作およびサービスに関する条項は、見積もりが承認され、支払いの確認後に制作者によって正式な注文番号（Order Number）が発行された時点で、法的拘束力を持つものとします。

第2条：知的財産権およびデザインの所有権

  1. 発明およびデザイン: CADデザイン、技術図面、プロトタイプ、Gコード、Android/Appleアプリケーション、写真、モデル、ファイル、および制作過程で生じた発明を含む（これらに限定されない）すべての知的財産権は、制作者に帰属します。
  2. 契約前の作業: 相談段階で提供された技術的な提案、スケッチ、または「発明開発」の概念は制作者の所有物であり、正式な書面による合意なしに、お客様がこれらを使用、複製、または第三者と共有することはできません。

第3条：機密保持および営業秘密

  1. 独自のプロセス: お客様は、制作者の製造プロセス（特殊な「コールドプロセス」技術を含む）が独自の営業秘密であることを認めるものとします。
  2. 相互機密保持: 両当事者は厳格な機密保持を維持することに同意します。制作者はお客様のプロジェクトの詳細を公開せず、お客様は制作者の技術的手法や独自のデータを第三者に開示しないものとします。
  3. プロセスの非公開: 独占性と誠実性を維持するため、法律で厳格に義務付けられている場合を除き、技術的プロセスを外部のお客様に開示することはありません。

第4条：注文の履行、スロット、および解除

  1. スロットの確保: 支払いが確認され、注文番号が発行された時点で、制作スロットが正式に確保されます。
  2. 制作段階: 注文番号が発行された後は、プロジェクトは「制作中」とみなされます。オーダーメイド製品の性質上、返金やキャンセルは一切受け付けられません。
  3. 解除権: 制作者はいつでもプロジェクトをキャンセルする権利を留保します。その際、既に使用された材料および完了した労働時間に基づき、按分計算された金額を返金します。過度な嫌がらせや違法行為があった場合、法律で認められる範囲において、返金なしで契約を解除する権利を留保します。

第5条：技術的権限および基準

  1. 設計権限: 制作者は、すべてのエンジニアリング、構造、およびデザインに関する決定において最終的な権限を有します。これには、安全性を確保するための公差、材料仕様、および部品配置の決定が含まれます。コンセプトが物理的に不可能または安全でないと判断された場合、制作者はデザインを変更する権利を有します。
  2. 公差: 加工および手作業による個体差は、カスタムプロセスの特性上避けられないものであり、欠陥とはみなされません。 5
  3. 文字の正確性: 刻印等の文字情報は、提供された通りに実行されます。綴り、文法、および句読点の責任はお客様にあり、制作者による修正は行われません。

第6条：検査および最終承認

  1. 初期検査: 配送による破損、加工ミス、または部品の不足に関する申し立ては、配達日から7暦日以内に ORDERS@intrestein.com まで報告する必要があります。
  2. 最終承認: 7日以内に報告がない場合、製品は配送時の状態で承認されたものとみなされます。
  3. 開封動画の義務: 配送中の破損に関する申し立てを行うには、お客様はパッケージを開封する際の連続した編集なしの動画を提供しなければなりません。 この動画には、開封前の外装シールやテープの状態、および取り出される内容物の状態が明確に映っている必要があります。写真のみでは配送破損の立証には不十分とみなされます。
  4. 証拠の真正性および刑事通報: AI生成、デジタル加工、または「ディープフェイク」と判断された証拠は即座に拒否されます。金銭的利益や無償交換を目的とした虚偽のメディア提出は犯罪行為です。制作者は、これらの行為を広島県警察、FBI (IC3)、およびお客様の居住地の法的機関に通報する権利を留保します。

第2節：付帯条項A － カスタム鉱物ディスプレイサービス

第7条：受け入れ、責任、および63日間の責任規定

  1. アクティブ・ウィンドウ: 正式なサービス期間は、オリエンテーション・レンダリング画像と最終請求書を含むメールが送信された時点で開始されます。
  2. 63日ルール: 制作能力を確保するため、お客様は請求書の発行日から63暦日以内に、ディスプレイオプションの選択および支払いを完了させる必要があります。
  3. 放棄および回収: 63日以内に支払いや指示がない場合は、重大な契約違反とみなされます。信義誠実（しんぎせいじつ）の原則に基づき、標本は放棄されたもの（意図的な権利放棄）とみなされます。所有権は、温湿度管理された保管費用、事務手数料、専門的な3Dスキャン作業、および準備費用に充てるため、制作者に移転します。
  4. リスクの引き受け: 鉱物は内部応力を持つ天然物です。制作者は応力緩和のために精密な3Dスキャンと特殊技術を用いますが、すべての作業はお客様のリスクで行われます。鉱物本来の性質に起因する構造的欠陥や結晶の脱落について、制作者は責任を負いません。

第8条：分類および独占権

  1. クラスシステム: プロジェクトは、サイズと技術的複雑さに基づいてクラス（0～5、”V”、”X”）に分類されます。制作者は、現物確認および3Dスキャン後にクラス評価を調整する権利を有します。
  2. クラス0の独占性: クラス0は、PEANUTS MINERALSの在庫専用の標準化されたディスプレイです。外部からのカスタム依頼は受け付けておりません。
  3. クラスV (Vault) の独占性: クラスVは、PEANUTS MINERALSメンバー限定の特殊ディスプレイです。
  4. クラスX (Experimental) の独占性: クラスXは、INTRESTEINメンバー（弊社のオンラインストアで直接製品を購入したことがあるお客様）限定の特殊ディスプレイです。

第9条：保証および特別なお手入れ

  1. 生涯クラフトマンシップ保証: INTRESTEINブランドのカスタムアクリルベースには、構造と仕上げに関する生涯保証が含まれます。製造上の欠陥が対象ですが、事故、過失、または不適切な清掃（アルコール溶剤や非推奨の布の使用等）による損傷は除外されます。
  2. 譲渡可能性: 本保証は譲渡可能です。保証を受けるには、元の注文番号または請求書を提示する必要があります。

第3節：法的地位

第10条：準拠法および合意管轄

  1. 準拠法: 本規約、およびお客様と制作者の関係は、日本法およびアメリカ合衆国法を準拠法とし、これらに従って解釈されるものとします。
  2. 専属的合意管轄: 両当事者は、広島地方裁判所を第一審の専属的合意管轄裁判所とすることに同意します。
  3. 二拠点における法的執行: 制作者は、知的財産権の保護、機密保持契約の履行、または未払債権の回収を目的とする場合に限り、米国モンタナ州を含む管轄権を有するあらゆる裁判所において訴えを提起する権利を留保します。

第11条：独立した事業体および第三者規約

  1. 独立した事業体: 制作者とフィナンシャルウィズ株式会社（PEANUTS MINERALS）は、それぞれ独立した別個の法的主体です。いずれの当事者も、他方の義務や債務に対して責任を負いません。
  2. 会計の独立性: フィナンシャルウィズ株式会社によって発行されたクレジットやギフト券は、制作者のサービスには転用できません。
